Scope<\/h2>\n  <p>\n    These General Terms and Conditions apply to the collaboration between NextGen Workforce Lda and its business customers in the areas of IT <a href=\"https:\/\/en.wikipedia.org\/wiki\/Nearshoring\" target=\"_blank\">nearshoring<\/a>, software development, consulting and related services.\n  <\/p>\n  <p>\n    NextGen Workforce works exclusively with business customers (B2B). Consumers are not the target group of our services.\n  <\/p>\n\n  <hr>\n\n  <h2>2. Contractual basis<\/h2>\n  <p>\n    The specific scope of services, prices, terms, payment conditions, termination rules and further contractual details are agreed individually in offers, order confirmations, service descriptions or separate contracts.\n  <\/p>\n  <p>\n    In the event of contradictions, individually agreed contractual documents take precedence over these GTC.\n  <\/p>\n\n  <hr>\n\n  <h2>3. Service model<\/h2>\n  <p>\n    NextGen Workforce provides IT services within a nearshoring model between Switzerland and Portugal.\n  <\/p>\n  <p>\n    Our specialists work as an integrated extension of existing <a href=\"\/en\/it-nearshoring-model-switzerland\/\">IT organisations<\/a> and support customers in particular in development, technical implementation, operations, consulting and project support.\n  <\/p>\n\n  <hr>\n\n  <h2>4. Collaboration<\/h2>\n  <p>\n    Collaboration takes place in close coordination with the customer&#8217;s responsible <a href=\"\/en\/it-consulting-switzerland-contact\/\">contacts<\/a> and is aligned with the agreed structures, processes and working methods.\n  <\/p>\n  <p>Collaboration is based in particular on:<\/p>\n  <ul>\n    <li>clear responsibilities<\/li>\n    <li>transparent communication<\/li>\n    <li>reliable planning<\/li>\n    <li>long-term partnership<\/li>\n    <li>professional integration into existing IT teams<\/li>\n  <\/ul>\n  <p>\n    Our <a href=\"\/en\/it-nearshoring-model-switzerland\/\">teams<\/a> usually work remotely from Portugal and are integrated into the customer&#8217;s operational IT environment as agreed.\n  <\/p>\n\n  <hr>\n\n  <h2>5. Customer cooperation obligations<\/h2>\n  <p>\n    The customer provides all information, access, contacts, technical prerequisites and documents required to deliver the agreed services.\n  <\/p>\n  <p>\n    Delays caused by missing or late customer cooperation are not the responsibility of NextGen Workforce.\n  <\/p>\n\n  <hr>\n\n  <h2>6. Availability and organisation<\/h2>\n  <p>\n    Working hours, availability, communication channels, project organisation and reporting are based on the customer&#8217;s individual requirements and are agreed per project.\n  <\/p>\n  <p>\n    Unless otherwise agreed, NextGen Workforce owes professional services, but not a specific commercial or technical result.\n  <\/p>\n\n  <hr>\n\n  <h2>7. Prices and payment terms<\/h2>\n  <p>\n    Prices, billing models and payment deadlines are agreed individually.\n  <\/p>\n  <p>\n    Unless stated otherwise, all prices are exclusive of statutory taxes, duties or other charges.\n  <\/p>\n\n  <hr>\n\n  <h2>8. Data protection and confidentiality<\/h2>\n  <p>\n    Protecting sensitive information is a top priority for NextGen Workforce.\n  <\/p>\n  <p>\n    All services are provided in compliance with applicable data protection laws, in particular the GDPR and the Swiss Data Protection Act (DSG), as well as the contractually agreed confidentiality provisions.\n  <\/p>\n  <p>\n    Where NextGen Workforce processes personal data on behalf of the customer, a separate data processing agreement is concluded.\n  <\/p>\n\n  <hr>\n\n  <h2>9. Rights to work results<\/h2>\n  <p>\n    Rights to work results, source code, documentation, concepts and other deliverables are governed by the respective contractual agreement.\n  <\/p>\n  <p>\n    Until agreed remuneration has been paid in full, usage rights remain reserved to the extent permitted by law.\n  <\/p>\n\n  <hr>\n\n  <h2>10. Liability<\/h2>\n  <p>\n    NextGen Workforce&#8217;s liability is governed by the individually agreed contractual terms and the applicable legal provisions.\n  <\/p>\n  <p>\n    Liability for indirect damage, loss of profit, data loss or consequential damage is excluded to the extent permitted by law.\n  <\/p>\n\n  <hr>\n\n  <h2>11. Term and termination<\/h2>\n  <p>\n    Term, notice periods and termination arrangements are agreed individually in the respective contract.\n  <\/p>\n  <p>\n    The right to extraordinary termination for good cause remains unaffected.\n  <\/p>\n\n  <hr>\n\n  <h2>12. Applicable law and jurisdiction<\/h2>\n  <p>\n    Unless otherwise agreed, Portuguese law applies, excluding conflict-of-law provisions.\n  <\/p>\n  <p>\n    The place of jurisdiction, where legally permissible, is Lisbon, Portugal.\n  <\/p>\n\n  <hr>\n\n  <h2>13. Final provisions<\/h2>\n  <p>\n    Should individual provisions of these GTC be or become invalid, the validity of the remaining provisions remains unaffected.\n  <\/p>\n  <p>\n    NextGen Workforce reserves the right to amend these GTC where necessary.
