General Terms and Conditions (GTC)

1. Scope
These General Terms and Conditions apply to the collaboration between NextGen Workforce Lda and its business customers in the areas of IT nearshoring, software development, consulting and related services.
NextGen Workforce works exclusively with business customers (B2B). Consumers are not the target group of our services.
2. Contractual basis
The specific scope of services, prices, terms, payment conditions, termination rules and further contractual details are agreed individually in offers, order confirmations, service descriptions or separate contracts.
In the event of contradictions, individually agreed contractual documents take precedence over these GTC.
3. Service model
NextGen Workforce provides IT services within a nearshoring model between Switzerland and Portugal.
Our specialists work as an integrated extension of existing IT organisations and support customers in particular in development, technical implementation, operations, consulting and project support.
4. Collaboration
Collaboration takes place in close coordination with the customer’s responsible contacts and is aligned with the agreed structures, processes and working methods.
Collaboration is based in particular on:
- clear responsibilities
- transparent communication
- reliable planning
- long-term partnership
- professional integration into existing IT teams
Our teams usually work remotely from Portugal and are integrated into the customer’s operational IT environment as agreed.
5. Customer cooperation obligations
The customer provides all information, access, contacts, technical prerequisites and documents required to deliver the agreed services.
Delays caused by missing or late customer cooperation are not the responsibility of NextGen Workforce.
6. Availability and organisation
Working hours, availability, communication channels, project organisation and reporting are based on the customer’s individual requirements and are agreed per project.
Unless otherwise agreed, NextGen Workforce owes professional services, but not a specific commercial or technical result.
7. Prices and payment terms
Prices, billing models and payment deadlines are agreed individually.
Unless stated otherwise, all prices are exclusive of statutory taxes, duties or other charges.
8. Data protection and confidentiality
Protecting sensitive information is a top priority for NextGen Workforce.
All services are provided in compliance with applicable data protection laws, in particular the GDPR and the Swiss Data Protection Act (DSG), as well as the contractually agreed confidentiality provisions.
Where NextGen Workforce processes personal data on behalf of the customer, a separate data processing agreement is concluded.
9. Rights to work results
Rights to work results, source code, documentation, concepts and other deliverables are governed by the respective contractual agreement.
Until agreed remuneration has been paid in full, usage rights remain reserved to the extent permitted by law.
10. Liability
NextGen Workforce’s liability is governed by the individually agreed contractual terms and the applicable legal provisions.
Liability for indirect damage, loss of profit, data loss or consequential damage is excluded to the extent permitted by law.
11. Term and termination
Term, notice periods and termination arrangements are agreed individually in the respective contract.
The right to extraordinary termination for good cause remains unaffected.
12. Applicable law and jurisdiction
Unless otherwise agreed, Portuguese law applies, excluding conflict-of-law provisions.
The place of jurisdiction, where legally permissible, is Lisbon, Portugal.
13. Final provisions
Should individual provisions of these GTC be or become invalid, the validity of the remaining provisions remains unaffected.
NextGen Workforce reserves the right to amend these GTC where necessary. The version applicable at the time the contract is concluded is decisive, unless otherwise agreed.
